This document is provided in English. If a translation is ever made available, the English version governs in case of any conflict.

1. Who we are and what these terms cover

Practifile ("Practifile", "we", "us") is a document-preparation service operated by Neuro Gnosis LLC. These Terms of Service (the "Terms") govern your use of the website at practifile.com and the services offered through it. By creating an account, using the service, or checking the agreement box at checkout, you accept these Terms.

2. Not affiliated with the IRS — and not legal or tax advice

Practifile is a private company. We are not affiliated with, endorsed by, or connected to the Internal Revenue Service (IRS) or any government agency. You can always apply for an EIN or ITIN directly with the IRS at irs.gov, and the IRS itself charges no fee to apply. Our fee pays for preparation assistance, guidance, and convenience — not for a government service.

Practifile provides self-help document preparation and general information only. We do not provide legal, tax, or financial advice, and no attorney–client or accountant–client relationship is created by using the service. If you need advice about your specific situation, consult a licensed attorney or tax professional.

3. The service

Practifile helps you prepare U.S. tax-ID applications — IRS Form SS-4 (EIN) and IRS Form W-7 (ITIN) — through a guided questionnaire. Based on your answers we generate a completed, ready-to-submit PDF of the official IRS form, together with submission instructions. Depending on availability, we offer:

  • Self-File — we prepare the form; you review, sign, and submit it to the IRS yourself.
  • Full Service (where offered) — after you sign the required IRS authorization form electronically, our authorized representative handles the submission on your behalf.
  • Attorney Review (optional add-on) — an independent professional reviews your prepared application before submission.

We do not guarantee that the IRS will approve any application, or any particular processing time — those decisions and timelines belong to the IRS alone.

4. Your responsibilities

  • Provide information that is accurate, complete, and yours to provide. The forms we prepare are only as correct as the answers you give.
  • Review the completed form carefully before signing or submitting it. You are responsible for the contents of anything you file with the IRS.
  • Use the service only for lawful purposes and only for applications you are authorized to make.
  • Keep your account email secure — login codes are sent to it.

5. AI-assisted features

Parts of the service use artificial intelligence, including the Practifile assistant chat, document data extraction ("Smart-Fill"), and review suggestions. AI output can be incomplete or incorrect. It is provided to help you, not to decide for you: always review AI-suggested answers before accepting them. AI responses are general information, never legal or tax advice.

6. Fees and payment

Prices are shown at checkout before you pay and may change over time. Payments are processed by Stripe; we never store your full card number. Applicable refunds are described in our Refund Policy, which is part of these Terms.

7. Electronic signatures and authorizations

Where the service requires agreement or authorization — such as the Service Agreement accepted at checkout or, for Full Service, an IRS authorization form — you agree that clicking to accept or signing electronically has the same effect as a handwritten signature.

8. Intellectual property

The Practifile website, software, and content are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the service for your own applications. Official IRS forms are U.S. government works.

9. Disclaimers and limitation of liability

The service is provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent permitted by law. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the service is limited to the amount you paid us for the service giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for IRS decisions, delays, or penalties.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Termination

You may stop using the service at any time. We may suspend or close accounts that violate these Terms, abuse the service (including the AI features), or create risk for us or other users. Sections that by their nature should survive (including payment obligations, disclaimers, and liability limits) survive termination.

11. Governing law and changes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. We may update these Terms from time to time; the "Last updated" date above reflects the current version, and continued use of the service after changes take effect constitutes acceptance.
